1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the services provided by Ownaris (“we,” “us,” or “our”), including our website, APIs, dashboards, and all related services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Ownaris provides a global payment infrastructure platform that enables businesses to accept payments, manage subscriptions, handle tax compliance, generate invoices, and process payouts across multiple countries and currencies. We act as the reseller of your digital products, handling payment processing, tax collection, and remittance on your behalf.
3. Account Registration
To use our Services, you must create an account by submitting a request through our application process. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information to keep it accurate and current.
- Maintain the security and confidentiality of your account credentials.
- Notify us immediately of any unauthorized use of your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to approve or reject any application at our sole discretion.
4. Use of Services
4.1 Permitted Use
You may use the Services only for lawful business purposes and in accordance with these Terms. You must comply with all applicable laws, regulations, and third-party agreements in your use of the Services.
4.2 Prohibited Activities
You agree not to:
- Use the Services for any illegal, fraudulent, or unauthorized purpose.
- Sell products or services that violate applicable laws or our Acceptable Use Policy.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Use the Services to transmit malware, viruses, or other harmful code.
- Resell or redistribute the Services without prior written consent.
- Attempt to circumvent any security measures or rate limits.
5. Fees and Payment
5.1 Service Fees
Fees for the Services are determined based on your selected plan and transaction volume. Specific pricing will be provided during the onboarding process and outlined in your service agreement.
5.2 Payment Terms
All fees are due according to the payment schedule specified in your service agreement. We may deduct our fees from your settlement payouts or invoice you separately, depending on your arrangement.
5.3 Taxes
You are responsible for any taxes applicable to your use of the Services (other than taxes on our income). We will collect and remit sales tax, VAT, and other applicable transaction taxes on your behalf as part of the Services.
6. Intellectual Property
6.1 Our Intellectual Property
The Services, including all content, features, functionality, software, and documentation, are owned by Ownaris and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
6.2 Your Content
You retain ownership of any content, data, or materials you submit through the Services (“Your Content”). You grant us a worldwide, royalty-free license to use, process, and display Your Content solely as necessary to provide the Services.
7. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from a third party.
8. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable. By using the Services, you acknowledge and agree to our data processing practices as described in our Privacy Policy.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWNARIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ownaris and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party.
12. Term and Termination
12.1 Term
These Terms take effect when you first access or use the Services and remain in effect until terminated by either party.
12.2 Termination
Either party may terminate these Terms by providing thirty (30) days' written notice to the other party. We may also suspend or terminate your access immediately if you materially breach these Terms or if required by law.
12.3 Effect of Termination
Upon termination, your right to use the Services will cease immediately. We will process any remaining payouts owed to you in accordance with our standard settlement schedule. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in Lyon, France, in accordance with the rules of the International Chamber of Commerce (ICC). Either party may seek injunctive or equitable relief in a court of competent jurisdiction.
14. General Provisions
- Entire Agreement: These Terms, together with any applicable service agreement, constitute the entire agreement between you and Ownaris regarding the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
- Amendments: We reserve the right to modify these Terms at any time. Material changes will be communicated with at least thirty (30) days' notice.
